Muhibbah Edar Sdn. Bhd. entered into a sale and purchase agreement to acquire 30% stake in FDL Technology Sdn Bhd from Asia Poly Holdings Bhd (KLSE:ASIAPLY) for MYR 2.5 million on October 28, 2016. Under the terms, Muhibbah Edar Sdn. Bhd. will acquire 0.12 million shares. The consideration will be satisfied through a deposit of MYR 0.245 million upon execution of the agreement and the balance of MYR 2.205 million anytime on or before completion. In case of termination of the agreement by Muhibbah Edar Sdn. Bhd., Asia Poly Holdings Bhd will forfeit MYR 0.245 million as liquidated damages, and in case of termination by Asia Poly Holdings Bhd, Asia Poly Holdings Bhd will return MYR 0.245 million to Muhibbah Edar Sdn. Bhd. and will pay an additional MYR 0.245 million as liquidation damages. For the year ended December 31, 2015, FDL Technology Sdn Bhd reported revenue of MYR 2.02 million, profit before tax and after tax of MYR 0.079 million and MYR 0.026 million respectively and as at December 31, 2015, net assets of MYR 0.574 million. The transaction is expected to complete on or before the expiry of 60 days from the date of the agreement. Muhibbah Edar Sdn. Bhd. completed the acquisition of 30% stake in FDL Technology Sdn Bhd from Asia Poly Holdings Bhd (KLSE:ASIAPLY) on December 27, 2016.
